Supplier Terms

These Supplier Terms (“Supplier Terms”) apply to all purchase orders (“POs”) issued by KDP 3D Solutions (“Buyer”) to any supplier, distributor, or service provider (“Supplier”). Shipment of goods or performance of services constitutes Supplier’s acceptance of these Supplier Terms. Any conflicting Supplier terms are rejected unless expressly accepted in writing by Buyer.

1. Quality and Conformance

Supplier shall provide goods/services that conform to all PO requirements, specifications, drawings, and referenced standards. Supplier shall not deviate from requirements without Buyer’s prior written approval.

2. Traceability and Records

Supplier shall maintain lot/batch traceability where applicable and provide certificates (CoC/CoA), material certs, and inspection results as required. Records shall be retained for a minimum of seven (7) years unless otherwise specified by Buyer in writing.

3. Nonconforming Product

Supplier shall immediately notify Buyer of any suspected nonconformance affecting delivered or in-process product. Supplier shall not ship nonconforming product without a written deviation/waiver issued by Buyer. Buyer may reject product at Supplier’s expense.

4. Right of Access and Audit

Buyer, Buyer’s customers, and regulatory authorities may access Supplier facilities and quality records relevant to the PO upon reasonable notice, to verify conformance where required.

5. Change Control

Supplier shall not change materials, formulation, manufacturing location, tooling, process, sub-tier suppliers, or inspection methods without prior written notice and Buyer approval where such changes may affect fit, form, function, reliability, or compliance.

6. Delivery and Packaging

Delivery dates are critical. Supplier shall package product to prevent damage and preserve traceability. Late deliveries may be subject to cancellation or chargebacks for expedited shipping at Supplier expense.

7. Warranty

Supplier warrants goods/services are free from defects, conform to requirements, and are merchantable and fit for intended use for a period of twelve (12) months from delivery unless otherwise stated. Remedies include repair, replacement, or refund at Buyer’s option.

8. Indemnity

Supplier shall defend, indemnify, and hold harmless Buyer from claims, damages, and costs arising from Supplier breach, negligence, product defects, or IP infringement related to Supplier goods/services.

9. Compliance

Supplier shall comply with applicable laws and regulations (including export controls, anti-bribery, and conflict minerals where applicable). Supplier shall provide compliance declarations upon request.

10. Confidentiality

Buyer data, drawings, pricing, and requirements are confidential. Supplier shall restrict access and use solely for PO performance.

11. Governing Law

These Supplier Terms are governed by the laws of the state in which Buyer is organized. Venue is exclusive in that jurisdiction.
